SYARAT DAN KETENTUAN PRE-ORDER PRE-ORDER TERMS AND CONDITIONS Pembaharuan Terakhir/Last Updated : 27 Februari 2026 I. KETENTUAN UMUM GENERAL TERMS PENDAHULUAN INTRODUCTION Syarat dan Ketentuan Pre-Order ini (“Ketentuan”) mengatur hubungan hukum antara PT Studio Desain Aerion, termasuk seluruh anak perusahaan, afiliasi, dan entitas terkaitnya (secara bersama-sama disebut sebagai “Aerion”), dengan setiap orang atau badan hukum yang melakukan pengajuan Pre-Order atas produk sepeda motor listrik Aerion (“Pengguna” atau “Anda”). These Pre-Order Terms and Conditions (the “Terms”) govern the legal relationship between PT Studio Desain Aerion, including its subsidiaries, affiliates, and related entities (collectively, “Aerion”), and any individual or legal entity submitting a Pre-Order for Aerion’s electric motorcycle products (the “User” or “You”). Ketentuan ini memuat hak, kewajiban, tanggung jawab, serta tata cara yang berlaku atas mekanisme pre-order yang diselenggarakan oleh Aerion (“Pre-Order”). Anda wajib membaca, memahami, dan mencermati Ketentuan ini sebelum mengajukan Pre-Order karena Ketentuan ini memiliki akibat hukum terhadap hak dan kewajiban Anda. These Terms set forth Your rights, obligations, responsibilities, and procedures applicable to the pre-order mechanism offered by Aerion (the “Pre-Order”). You are required to carefully read, understand, and consider these Terms prior to submitting any Pre-Order, as they affect Your legal rights and obligations. PERSETUJUAN ATAS KETENTUAN ACCEPTANCE OF TERMS Dengan mengisi, mengajukan, dan/atau menyerahkan formulir Pre-Order yang disediakan oleh Aerion, serta dengan menekan tombol “Saya Setuju” atau mekanisme persetujuan elektronik lainnya, Anda dengan ini menyatakan dan menjamin bahwa Anda: By completing, submitting, and/or filing the Pre-Order form provided by Aerion, and by clicking the “I Agree” button or any equivalent acceptance mechanism, You hereby represent and warrant that You: a. telah membaca, memahami, dan menyetujui seluruh isi Ketentuan ini; have read, understood, and fully comprehended these Terms; b. setuju untuk terikat secara hukum dan mematuhi Ketentuan ini; dan agree to be legally bound by and comply with these Terms; and c. bertindak untuk dan atas nama diri sendiri atau untuk dan atas nama suatu badan hukum, pemberi kerja, atau organisasi lain (apabila berlaku), serta memiliki kewenangan penuh untuk mengikat pihak tersebut. submit to these Terms either in Your personal capacity or on behalf of a legal entity, employer, or other organization (if applicable), with full authority to bind such entity. IF YOU DO NOT AGREE WITH ANY PROVISION OF THESE TERMS, YOU ARE NOT PERMITTED TO SUBMIT THE PRE-ORDER FORM OR PARTICIPATE IN THE PRE-ORDER. KEABSAHAN HUKUM LEGAL VALIDITY Ketentuan ini merupakan perjanjian yang sah, mengikat, dan dapat dilaksanakan antara Anda dan Aerion sesuai dengan ketentuan peraturan perundang-undangan yang berlaku di Republik Indonesia. These Terms constitute a valid, binding, and enforceable agreement between You and Aerion in accordance with applicable laws and regulations of the Republic of Indonesia. Dengan menyetujui Ketentuan ini, Anda secara tegas melepaskan hak untuk menyangkal, menolak, atau menggugat keabsahan Ketentuan ini dengan alasan bentuk persetujuan elektronik atau tidak adanya tanda tangan basah. By accepting these Terms, You expressly waive any right to challenge, deny, or dispute the validity or enforceability of these Terms on the grounds of electronic acceptance or absence of physical signature. PERUBAHAN KETENTUAN AMENDMENTS Aerion berhak, atas kebijakannya sendiri dan sejauh diperkenankan oleh hukum yang berlaku, untuk mengubah, menambah, memperbarui, atau mengganti Ketentuan ini sewaktu-waktu, dengan atau tanpa pemberitahuan sebelumnya. Aerion reserves the right, at its sole discretion, to amend, supplement, modify, or replace these Terms at any time, with or without prior notice, to the extent permitted under applicable laws and regulations. Setiap perubahan akan berlaku efektif sejak diumumkan atau dipublikasikan melalui kanal resmi Aerion. Keikutsertaan Anda yang berkelanjutan dalam Pre-Order setelah perubahan tersebut dianggap sebagai persetujuan Anda atas Ketentuan yang telah diperbarui. Any amendments shall become effective upon publication or notification through Aerion’s official channels. Your continued participation in the Pre-Order following such amendment shall constitute Your acceptance of the revised Terms. II. DEFINISI Definition Dalam Ketentuan ini, kecuali konteksnya menentukan lain, yang dimaksud dengan: In these Terms and Conditions, unless the context otherwise requires, the following terms shall have the meanings set forth below: Aerion adalah PT Studio Desain Aerion, suatu perseroan terbatas yang didirikan dan tunduk pada hukum Negara Kesatuan Republik Indonesia, berkedudukan di Jakarta Selatan, termasuk seluruh Afiliasi, anak perusahaan, dan/atau entitas lain yang berada di bawah pengendalian langsung maupun tidak langsung Aerion. Aerion means PT Studio Desain Aerion, a limited liability company duly established and existing under the laws of the Republic of Indonesia, having its registered office in South Jakarta, including all of its Affiliates, subsidiaries, and/or other entities under the direct or indirect control of Aerion. Afiliasi adalah setiap pihak yang secara langsung atau tidak langsung mengendalikan, dikendalikan oleh, atau berada di bawah pengendalian yang sama dengan Aerion, termasuk namun tidak terbatas pada anak perusahaan, perusahaan induk, atau perusahaan yang memiliki hubungan kepemilikan dan/atau pengendalian manajemen. Affiliate means any party that directly or indirectly controls, is controlled by, or is under common control with Aerion, including but not limited to subsidiaries, parent companies, or entities having ownership interests and/or management control relationships with Aerion. Kebijakan Privasi adalah kebijakan privasi Aerion yang mengatur pengumpulan, penggunaan, penyimpanan, pengolahan, dan perlindungan data pribadi Pelanggan, sebagaimana berlaku dan dapat diperbarui dari waktu ke waktu. Privacy Policy means Aerion’s privacy policy governing the collection, use, storage, processing, and protection of the Customer’s personal data, as may be applicable and updated from time to time. Pre-Order adalah komitmen pemesanan awal bersyarat yang dilakukan oleh Pelanggan terhadap produk sepeda motor listrik Aerion, yang memberikan hak kepada Pelanggan untuk memperoleh slot produksi terbatas sesuai dengan paket dan/atau varian yang dipilih, sebagaimana diatur dalam Ketentuan ini. Pre-Order means a conditional early booking commitment made by the Customer for Aerion’s electric motorcycle products, which grants the Customer the right to secure a limited production slot in accordance with the selected package and/or variant, as governed by these Terms and Conditions. Formulir Pre-Order adalah formulir elektronik yang disediakan oleh Aerion melalui situs web resmi atau media lain yang ditetapkan oleh Aerion, yang wajib diisi dan diajukan oleh Pelanggan sebagai bagian dari proses Pre-Order. Pre-Order Form means the electronic form provided by Aerion through its official website or other media designated by Aerion, which must be completed and submitted by the Customer as part of the Pre-Order process. Voucher Pre-Order adalah Dokumen Elektronik dalam format PDF yang diterbitkan oleh Aerion setelah verifikasi pembayaran Booking Fee, sebagai bukti sah kepemilikan Pre-Order dan reservasi slot produksi Pelanggan, yang memuat data Pelanggan dan rincian Pre-Order, sebagaimana diatur dalam Ketentuan ini. Pre-Order Voucher means an Electronic Document in PDF format issued by Aerion after verification of the Booking Fee payment, serving as valid proof of the Customer’s Pre-Order and reservation of a production slot, containing the Customer’s data and Pre-Order details, as governed by these Terms and Conditions. Booking Fee adalah sejumlah pembayaran awal yang dilakukan oleh Pelanggan sebagai bagian dari proses Pre-Order, yang berfungsi sebagai tanda jadi dan/atau komitmen pemesanan awal, bukan merupakan pembayaran penuh atas harga produk, yang ketentuan pengembaliannya tunduk pada Ketentuan ini. Booking Fee means an initial payment made by the Customer as part of the Pre-Order process, serving as a deposit and/or early booking commitment, which does not constitute full payment of the product price, and the refundability of which shall be subject to these Terms and Conditions. Dokumen Elektronik adalah setiap Informasi Elektronik yang dibuat, diteruskan, dikirimkan, diterima, atau disimpan dalam bentuk analog, digital, elektromagnetik, optikal, atau sejenisnya, yang dapat dilihat, ditampilkan, dan/atau didengar melalui komputer atau sistem elektronik, termasuk namun tidak terbatas pada tulisan, suara, gambar, peta, rancangan, foto, atau sejenisnya, huruf, tanda, angka, kode akses, simbol, atau perforasi yang memiliki makna atau arti atau dapat dipahami oleh orang yang mampu memahaminya. Electronic Document means any Electronic Information that is created, forwarded, transmitted, received, or stored in analog, digital, electromagnetic, optical, or similar forms, which can be displayed, presented, and/or heard through a computer or electronic system, including but not limited to text, sound, images, maps, designs, photographs, letters, signs, numbers, access codes, symbols, or perforations having meaning or significance and capable of being understood. Informasi Elektronik adalah satu atau sekumpulan data elektronik, termasuk namun tidak terbatas pada tulisan, suara, gambar, peta, rancangan, foto, electronic data interchange, surat elektronik, telegram, teleks, telecopy, atau sejenisnya, huruf, tanda, angka, kode akses, simbol, atau perforasi yang telah diolah dan memiliki arti atau dapat dipahami oleh orang yang mampu memahaminya. Electronic Information means one or a set of electronic data, including but not limited to text, sound, images, maps, designs, photographs, electronic data interchange, electronic mail, telegrams, telex, telecopy, or similar forms, letters, signs, numbers, access codes, symbols, or perforations that have been processed and have meaning or are capable of being understood. Hari adalah hari kerja sesuai dengan ketentuan yang ditetapkan oleh Pemerintah Republik Indonesia . Day means a business day as determined in accordance with the provisions stipulated by the Government of the Republic of Indonesia. Korporasi adalah kumpulan orang dan/atau kekayaan yang terorganisasi, baik yang berbadan hukum maupun yang tidak berbadan hukum, termasuk namun tidak terbatas pada perseroan terbatas, persekutuan, firma, yayasan, koperasi, atau bentuk usaha lainnya. Corporation means any organized association of persons and/or assets, whether incorporated or unincorporated, including but not limited to limited liability companies, partnerships, firms, foundations, cooperatives, or other forms of business entities. Peraturan Perundang-Undangan adalah seluruh peraturan perundang-undangan yang berlaku di Negara Kesatuan Republik Indonesia, baik di tingkat pusat maupun daerah, termasuk namun tidak terbatas pada undang-undang, peraturan pemerintah, peraturan presiden, peraturan menteri, peraturan lembaga, peraturan daerah, serta setiap perubahan, penggantian, atau peraturan pelaksanaannya dari waktu ke waktu, yang secara langsung maupun tidak langsung mengatur atau berkaitan dengan pelaksanaan Pre-Order, produksi, peredaran, penggunaan, dan/atau pendaftaran produk sepeda motor listrik. Applicable Laws and Regulations means all laws and regulations in force in the Republic of Indonesia, whether at the central or regional level, including but not limited to laws, government regulations, presidential regulations, ministerial regulations, regulations of governmental authorities, regional regulations, as well as any amendments, replacements, or implementing regulations thereof from time to time, which directly or indirectly govern or relate to the Pre-Order, production, distribution, use, and/or registration of electric motorcycle products. III. MEKANISME DAN OBJEK PRE-ORDER PRE-ORDER MECHANISM AND OBJECT O bjek Pre-Order Object of Pre-Order 1.1 Sifat dan Ruang Lingkup Pre-Order Nature and Scope of the Pre-Order Pre-Order merupakan komitmen pemesanan awal yang bersifat bersyarat atas produk sepeda motor listrik Aerion, yang memberikan hak kepada Pelanggan untuk memperoleh reservasi slot produksi terbatas sesuai dengan paket dan/atau varian yang dipilih sebagaimana tercantum dalam Formulir Pre-Order. The Pre-Order constitutes a conditional early booking commitment for Aerion’s electric motorcycle products, granting the Customer the right to secure a limited production slot in accordance with the selected package and/or variant as stated in the Pre-Order Form. PELANGGAN DENGAN INI MEMAHAMI DAN MENYETUJUI BAHWA PADA SAAT PELAKSANAAN PRE-ORDER, PRODUK SEPEDA MOTOR LISTRIK YANG DISEDIAKAN OLEH AERION DAPAT MASIH BERADA DALAM PROSES PEMENUHAN KEWAJIBAN REGULASI, TERMASUK NAMUN TIDAK TERBATAS PADA PEROLEHAN SERTIFIKAT UJI TIPE (SUT) DAN SERTIFIKAT REGISTRASI UJI TIPE (SRUT), SESUAI DENGAN KETENTUAN PERATURAN PERUNDANG-UNDANGAN YANG BERLAKU. THE CUSTOMER HEREBY ACKNOWLEDGES AND AGREES THAT, AT THE TIME OF THE PRE-ORDER, THE ELECTRIC MOTORCYCLE PRODUCTS OFFERED BY AERION MAY STILL BE UNDERGOING REGULATORY COMPLIANCE PROCESSES, INCLUDING BUT NOT LIMITED TO THE PROCUREMENT OF THE TYPE APPROVAL CERTIFICATE (SUT) AND VEHICLE TYPE REGISTRATION CERTIFICATE (SRUT), AS REQUIRED UNDER APPLICABLE LAWS AND REGULATIONS. Aerion hanya akan melakukan penyerahan produk sepeda motor listrik dalam kondisi terakit penuh setelah seluruh persyaratan regulasi yang diwajibkan oleh peraturan perundang-undangan telah dipenuhi. Aerion shall deliver the electric motorcycle products only in fully assembled condition after all mandatory regulatory requirements have been duly fulfilled. Sebagai bagian dari proses penyerahan kendaraan, Aerion dan/atau mitra dealer yang ditunjuk akan memfasilitasi proses pendaftaran kendaraan bermotor serta pengurusan dokumen kendaraan sebagaimana diwajibkan oleh peraturan perundang-undangan yang berlaku. As part of the vehicle delivery process, Aerion and/or its appointed dealer partner shall facilitate the registration of the vehicle and the procurement of vehicle documentation as required under applicable laws and regulations. Pelanggan berkewajiban untuk menyediakan seluruh dokumen yang diperlukan serta melakukan pembayaran atas pajak, biaya administrasi, dan pungutan resmi lainnya yang timbul sehubungan dengan proses pendaftaran tersebut. The Customer shall be responsible for providing all required documentation and for paying any applicable taxes, administrative fees, and official charges arising in connection with such registration. Pelanggan memahami dan menyetujui bahwa jangka waktu penyelesaian proses pendaftaran dan penerbitan dokumen kendaraan sepenuhnya bergantung pada kewenangan dan kebijakan instansi pemerintah terkait, dan oleh karenanya Aerion tidak bertanggung jawab atas keterlambatan yang disebabkan oleh pihak-pihak tersebut. The Customer understands and agrees that the timeline for completion of the registration process and issuance of vehicle documentation is subject to the authority and policies of the relevant government agencies, and accordingly, Aerion shall not be liable for any delays attributable thereto. 1.2 Pembatasan Limitation Pre-Order sebagaimana dimaksud dalam Ketentuan ini bukan merupakan perjanjian jual beli penuh, tidak dapat ditafsirkan sebagai pengalihan kepemilikan produk, dan tidak memberikan hak penyerahan unit, melainkan merupakan reservasi produksi yang bersifat bersyarat dan mengikat secara terbatas, yang tunduk sepenuhnya pada Ketentuan ini. The Pre-Order as referred to herein does not constitute a full sale and purchase agreement, shall not be construed as a transfer of ownership, and does not entitle the Customer to delivery of the unit, but rather constitutes a conditional and limited production reservation, fully subject to and governed by these Terms. 1.3 Keabsahan dan Keberlakuan Pre-Order Validity and Effectiveness of the Pre-Order Pre-Order dinyatakan sah, mengikat secara terbatas, dan berlaku apabila dan hanya apabila seluruh unsur berikut telah terpenuhi secara kumulatif: A Pre-Order shall be deemed valid, limitedly binding, and effective if and only if all of the following requirements have been cumulatively fulfilled: a. pengisian dan pengajuan Formulir Pre-Order melalui situs resmi Aerion atau media lain yang ditetapkan oleh Aerion, yang sekurang- kurangnya memuat: completion and submission of the Pre-Order Form through Aerion’s official website or other media designated by Aerion, containing at minimum: identitas Pelanggan; Customer identification details; pilihan produk, paket, dan/atau varian; selected product, package, and/or variant; persetujuan atas Syarat dan Ketentuan Pre-Order; dan acceptance of the Pre-Order Terms and Conditions; and persetujuan atas Kebijakan Privasi. acceptance of the Privacy Policy; b. dilakukannya pembayaran Booking Fee oleh Pelanggan sesuai dengan metode pembayaran yang tersedia; dan payment of the Booking Fee by the Customer in accordance with the available payment methods; and c. diterbitkannya Voucher Pre-Order dalam bentuk Dokumen Elektronik oleh Aerion setelah verifikasi pembayaran Booking Fee, sebagai bukti sah reservasi slot produksi. issuance of a Pre-Order Voucher in the form of an Electronic Document by Aerion after verification of the Booking Fee payment, serving as valid proof of the production slot reservation. 1.4 Ketentuan dan uraian lengkap mengenai pilihan produk, paket, varian, konfigurasi, spesifikasi, serta estimasi linimasa produksi dan/ atau pengiriman tidak diatur secara rinci dalam Ketentuan ini, melainkan ditetapkan secara spesifik dan mengikat dalam Formulir Pre- Order yang diisi dan diajukan oleh Pelanggan sebagai bagian dari proses Pre-Order. The complete terms and descriptions relating to the selected product, package, variant, configuration, specifications, and estimated production and/or delivery timelines are not exhaustively set out in these Terms, but shall be specifically determined and binding as set forth in the Pre-Order Form completed and submitted by the Customer as part of the Pre-Order process. Formulir Pre-Order tersebut merupakan bagian yang tidak terpisahkan dari Ketentuan ini dan berlaku sebagai rujukan utama atas rincian komersial Pre-Order yang dipilih oleh Pelanggan. The Pre-Order Form constitutes an integral and inseparable part of these Terms and shall serve as the primary reference for the commercial details of the Customer’s Pre-Order. TA HAPAN MEKANISME PRE-ORDER Stages of the Pre-Order Mechanism 2.1 Tahap Awal Pengajuan Minat Pre-Order Initial Expression of Interest Stage 2.1.1 Pelanggan memasuki proses Pre-Order dengan mengisi dan mengajukan formulir minat Pre-Order yang disediakan oleh Aerion sebagai bentuk pernyataan minat awal. The Customer enters the Pre-Order process by completing and submitting an initial Pre-Order interest form made available by Aerion, as a statement of preliminary interest only. 2.1.2 Pengajuan minat sebagaimana dimaksud dalam ayat ini tidak menimbulkan hubungan hukum yang mengikat dan tidak merupakan Pre-Order, sebelum terpenuhinya seluruh persyaratan Pre-Order sebagaimana diatur dalam poin 1.3 Ketentuan ini. The submission of such expression of interest does not create any legally binding relationship, nor does it constitute a Pre-Order, unless and until all Pre-Order requirements as stipulated under Clause 1.3 of these Terms have been fully satisfied. 2.2 Tahap Tindak Lanjut dan Kualifikasi oleh Tim Penjualan Sales Follow-Up and Qualification Stage 2.2.1 Setelah pengajuan minat diterima, tim penjualan Aerion akan menghubungi Pelanggan melalui sarana komunikasi yang relevan, termasuk namun tidak terbatas pada WhatsApp, panggilan telepon, atau pesan tertulis. Upon receipt of the Customer’s expression of interest, Aerion’s sales team shall contact the Customer through relevant communication channels, including but not limited to WhatsApp, telephone calls, or written messages. 2.2.2 Dalam tahap ini, tim penjualan Aerion akan memberikan penjelasan kepada Pelanggan mengenai: During this stage, Aerion’s sales team shall provide the Customer with explanations regarding: a. posisi dan karakteristik produk; the positioning and characteristics of the product; b. paket Pre-Order yang tersedia; available Pre-Order packages; c. tahapan produksi dan estimasi waktu pengiriman; dan production stages and estimated delivery timelines; and d. tautan resmi situs web Aerion untuk pelaksanaan Pre-Order. the official Aerion website link for the execution of the Pre-Order. 2.3 Tahap Evaluasi oleh Pelanggan Customer Evaluation Stage 2.3.1 Sebelum melanjutkan ke tahap pelaksanaan Pre-Order, Pelanggan diberikan kesempatan untuk melakukan evaluasi secara mandiri terhadap informasi yang disediakan melalui situs resmi Aerion, termasuk namun tidak terbatas pada rincian produk, paket Pre-Order, tahapan produksi, dan estimasi lini masa. Prior to proceeding with the Pre-Order execution stage, the Customer is given the opportunity to independently evaluate the information made available on Aerion’s official website, including but not limited to product details, Pre-Order packages, production stages, and estimated timelines. 2.3.2 Dengan melanjutkan ke tahap pelaksanaan Pre-Order, Pelanggan dianggap telah membaca, memahami, dan menyetujui seluruh informasi tersebut. By proceeding with the Pre-Order execution, the Customer is deemed to have reviewed, understood, and accepted all such information. 2.4 Tahap Pelaksanaan Pre-Order Pre-Order Execution Stage 2.4.1 Pelanggan melaksanakan Pre-Order dengan cara: The Customer executes the Pre-Order by: a. mengisi dan menyerahkan Formulir Pre-Order; completing and submitting the Pre-Order Form; b. mencentang dan menyetujui Syarat dan Ketentuan Pre-Order serta Kebijakan Privasi; dan checking and accepting the Pre-Order Terms and Conditions and the Privacy Policy; and c. memilih metode pembayaran yang tersedia. selecting one of the available payment methods. 2.4.2 Metode pembayaran yang dapat dipilih meliputi: Available payment methods include: a. pembayaran QR secara langsung; in-person QR payment; b. transfer bank; bank transfer; c. pembayaran QR; QR payment; d. kartu pembayaran; dan/atau card payment; and/or e. sistem checkout e-commerce. e-commerce checkout system. 2.5 Tahap Pembayaran dan Verifikasi Payment and Verification Stage 2.5.1 Pelanggan wajib menyelesaikan pembayaran Booking Fee sesuai dengan metode pembayaran yang dipilih. Setelah pembayaran berhasil, Pelanggan akan menerima bukti pembayaran dari sistem pembayaran yang digunakan. The Customer shall complete payment of the Booking Fee using the selected payment method. Upon successful payment, the Customer shall receive a payment receipt from the applicable payment system. 2.5.2 Aerion melalui tim penjualannya akan melakukan verifikasi atas pembayaran tersebut sebelum menerbitkan Voucher Pre-Order. Aerion, through its sales team, shall verify the payment prior to issuing the Pre-Order Voucher. 2.6 Tahap Konfirmasi dan Penerbitan Voucher Pre-Order Confirmation and Issuance of Pre-Order Voucher Setelah pembayaran Booking Fee diverifikasi, Aerion akan menerbitkan Voucher Pre-Order dalam bentuk Dokumen Elektronik berformat PDF yang bersifat spesifik dan personal untuk masing-masing Pelanggan, yang: Upon verification of the Booking Fee payment, Aerion shall issue a Pre-Order Voucher in the form of a PDF Electronic Document, which is customer-specific and personal, and which: a. dihasilkan berdasarkan data yang tercantum dalam Formulir Pre-Order; is generated based on the data contained in the Pre-Order Form; b. dikirimkan kepada Pelanggan melalui sarana elektronik; dan is delivered to the Customer through electronic means; and c. berfungsi sebagai bukti sah reservasi slot produksi. serves as valid proof of reservation of a production slot. KE BERLAKUAN, SIFAT, DAN KEDALUWARSA VOUCHER PRE-ORDER Validity, Nature, and Expiration of the Pre-Order Voucher 3.1 Keberlakuan dan Fungsi Hukum Voucher Pre-Order Validity and Legal Function of the Pre-Order Voucher 3.1.1 Voucher Pre-Order merupakan bukti sah dan mengikat secara terbatas atas kepemilikan Pre-Order oleh Pelanggan, yang memberikan hak kepada Pelanggan untuk memperoleh reservasi slot produksi sesuai dengan paket dan/atau varian yang dipilih, sepanjang mematuhi seluruh Ketentuan ini. The Pre-Order Voucher constitutes valid and limited legally binding evidence of the Customer’s Pre-Order, granting the Customer the right to a reserved production slot in accordance with the selected package and/or variant, subject to full compliance with these Terms and Conditions. 3.1.2 Voucher Pre-Order tidak merupakan bukti kepemilikan produk, tidak dapat ditafsirkan sebagai perjanjian jual beli penuh, dan tidak memberikan hak penyerahan unit sebelum terpenuhinya seluruh persyaratan produksi, pembayaran, dan ketentuan lain yang ditetapkan oleh Aerion. The Pre-Order Voucher does not constitute proof of ownership of the product, shall not be construed as a full sale and purchase agreement, and does not entitle the Customer to delivery of the unit unless and until all production, payment, and other applicable requirements stipulated by Aerion have been fulfilled. 3.2 Masa Berlaku Voucher Pre-Order Validity Period of the Pre-Order Voucher 3.2.1 Voucher Pre-Order memiliki masa berlaku terbatas selama 2 (dua) tahun sejak tanggal penerbitan sebagaimana tercantum dalam Voucher Pre-Order, atau sesuai dengan batch produksi yang ditetapkan oleh Aerion, mana yang lebih dahulu terjadi. The Pre-Order Voucher shall be valid for a limited period of 2 (two) years from its issuance date as stated in the Pre-Order Voucher, or in accordance with the applicable production batch determined by Aerion, whichever occurs first. 3.2.2 Setelah berakhirnya masa berlaku tersebut, Voucher Pre-Order secara otomatis menjadi tidak berlaku, kecuali ditentukan lain secara tertulis oleh Aerion. Upon expiry of such validity period, the Pre-Order Voucher shall automatically lapse, unless otherwise expressly determined in writing by Aerion. 3.3. Kondisi yang Menyebabkan Berakhirnya Voucher Pre-Order Events Triggering Expiration of the Pre-Order Voucher 3.3.1 Tanpa mengesampingkan ketentuan lain dalam Ketentuan ini, Voucher Pre-Order dinyatakan berakhir, batal, dan tidak berlaku, baik secara otomatis maupun berdasarkan pemberitahuan tertulis dari Aerion, apabila terjadi satu atau lebih kondisi berikut: Without prejudice to any other provisions of these Terms, the Pre-Order Voucher shall be deemed expired, void, and of no further legal force or effect, either automatically or upon written notice from Aerion, upon the occurrence of one or more of the following events: a. berakhirnya masa berlaku Voucher Pre-Order, sebagaimana diatur dalam Pasal 3.2 Ketentuan ini; the expiration of the validity period of the Pre-Order Voucher as stipulated under Clause 3.2 of these Terms; b. Pelanggan tidak memenuhi kewajiban lanjutan yang secara wajar dipersyaratkan oleh Aerion dalam rangka proses produksi, konfirmasi spesifikasi, atau tahapan lanjutan lainnya, dalam jangka waktu yang telah diberitahukan oleh Aerion; the Customer’s failure to fulfill any subsequent obligations reasonably required by Aerion in connection with the production process, specification confirmation, or other follow-up stages, within the timeframe communicated by Aerion; c. Pelanggan secara sepihak membatalkan Pre-Order, kecuali ditentukan lain secara tegas dalam Ketentuan ini; the Customer’s unilateral cancellation of the Pre-Order, unless expressly provided otherwise under these Terms; d. ditemukan adanya data, informasi, atau pernyataan yang tidak benar, tidak akurat, atau menyesatkan yang disampaikan oleh Pelanggan dalam Formulir Pre-Order dan/atau dalam komunikasi lanjutan yang berdampak material terhadap pelaksanaan Pre-Order; the discovery of any false, inaccurate, or misleading data, information, or statements submitted by the Customer in the Pre-Order Form and/or in subsequent communications, which materially affect the performance of the Pre-Order; e. terjadi pelanggaran terhadap Ketentuan ini oleh Pelanggan yang tidak diperbaiki dalam jangka waktu yang wajar setelah Pelanggan menerima pemberitahuan tertulis dari Aerion; dan/atau any breach of these Terms by the Customer that is not remedied within a reasonable cure period after the Customer has received written notice from Aerion; and/or f. Pre-Order menjadi tidak dapat dilaksanakan sebagai akibat dari berakhirnya atau dihentikannya batch produksi tertentu, perubahan atau penerapan Peraturan Perundang-Undangan, Keadaan Kahar, atau keadaan lain yang berada di luar kendali wajar Aerion. the Pre-Order becoming impossible to perform as a result of the expiration or termination of a particular production batch, changes in or implementation of applicable Laws and Regulations, a Force Majeure event, or other circumstances beyond Aerion’s reasonable control. g. Sejak Pelanggan menerima produk yang menjadi objek Pre-Order, Pre-Order Voucher dengan ini dinyatakan berakhir, tidak berlaku, dan tidak dapat digunakan kembali untuk tujuan apa pun. Upon the Customer’s receipt of the product subject to the Pre-Order, the Pre-Order Voucher shall be deemed expired, void, and no longer usable for any purpose. 3.3.2 Dalam hal Voucher Pre-Order dinyatakan berakhir atau tidak berlaku berdasarkan Pasal ini, Voucher Pre-Order tidak dapat digunakan untuk mengajukan klaim, tuntutan, atau hak apa pun terhadap Aerion, dengan tetap tunduk pada ketentuan mengenai pengembalian Booking Fee sebagaimana diatur dalam Ketentuan ini. In the event the Pre-Order Voucher expires or becomes invalid pursuant to this Clause, the Pre-Order Voucher may no longer be used as the basis for any claim, demand, or right against Aerion, subject always to the provisions governing the refund of the Booking Fee as set forth under these Terms. 3.4 Voucher Pre-Order bersifat pribadi, eksklusif, dan tidak dapat dialihkan, atau dipindahtangankan kepada pihak mana pun, baik sebagian maupun seluruhnya, tanpa persetujuan tertulis terlebih dahulu dari Aerion. The Pre-Order Voucher is personal, exclusive, and non-transferable, and may not be assigned, pledged, or transferred, in whole or in part, to any third party without Aerion’s prior written approval. 3.5 Pelanggan dengan ini mengakui dan menyetujui bahwa seluruh dokumen, persetujuan, komunikasi, dan bukti elektronik yang dihasilkan dalam mekanisme Pre-Order, termasuk namun tidak terbatas pada Voucher Pre-Order, merupakan alat bukti hukum yang sah dan mengikat sesuai dengan ketentuan Undang-Undang Nomor 11 Tahun 2008 tentang Informasi dan Transaksi Elektronik sebagaimana telah diubah. The Customer hereby acknowledges and agrees that all electronic documents, consents, communications, and records generated under the Pre-Order mechanism, including but not limited to the Pre-Order Voucher, constitute valid and binding legal evidence pursuant to Law No. 11 of 2008 on Electronic Information and Transactions, as amended PEM BATALAN DAN PENGEMBALIAN DANA CANCELLATION AND REFUND 4.1 Ketentuan Umum General Terms Booking Fee dibayarkan oleh Pelanggan sebagai tanda jadi dan komitmen pemesanan awal atas reservasi slot produksi. Dengan mempertimbangkan sifat Pre-Order sebagai reservasi produksi bersyarat, Booking Fee pada prinsipnya bersifat tidak dapat dikembalikan, kecuali ditentukan lain secara tegas dalam Ketentuan ini. The Booking Fee is paid by the Customer as a deposit and early booking commitment for the reservation of a production slot. Considering the nature of the Pre-Order as a conditional production reservation, the Booking Fee shall, in principle, be non-refundable, unless expressly provided otherwise under these Terms and Conditions. 4.2 Pembatalan oleh Pelanggan Cancellation by the Customer 4.2.1 Pelanggan dengan ini memahami, mengakui, dan menyetujui bahwa setiap pembatalan Pre-Order yang dilakukan oleh Pelanggan setelah diterbitkannya Voucher Pre-Order akan mengakibatkan hilangnya hak Pelanggan atas pengembalian Booking Fee, dan Booking Fee tersebut menjadi tidak dapat dimintakan kembali dalam bentuk apa pun. The Customer hereby understands, acknowledges, and agrees that any cancellation of the Pre-Order made by the Customer after the issuance of the Pre-Order Voucher shall result in the forfeiture of the Customer’s right to any refund of the Booking Fee, and such Booking Fee shall be non-refundable in any form. 4.2.2. Dalam hal Pelanggan membatalkan Pre-Order dengan alasan apapun setelah diterbitkannya Voucher Pre-Order, maka dengan tunduk pada Ketentuan ini, berlaku ketentuan sebagai berikut: In the event that the Customer cancels the Pre-Order for any reason whatsoever after the issuance of the Pre-Order Voucher, the following provisions shall apply, subject to these Terms: a. Pre-Order dinyatakan berakhir dan tidak berlaku sejak tanggal pembatalan oleh Pelanggan; the Pre-Order shall be deemed terminated and no longer valid as of the date of cancellation by the Customer; b. Voucher Pre-Order secara otomatis menjadi tidak berlaku, batal, dan tidak memiliki kekuatan hukum; dan the Pre-Order Voucher shall automatically become void, invalid, and without any legal force or effect; and c. Booking Fee yang telah dibayarkan tidak dapat dikembalikan, sebagai kompensasi atas reservasi slot produksi, biaya administrasi, serta perencanaan dan persiapan produksi yang telah atau akan dilakukan oleh Aerion. the Booking Fee already paid shall not be refundable, as compensation for the reservation of the production slot, administrative costs, and production planning and preparation that have been or will be undertaken by Aerion. 4.3 Keadaan yang Memungkinkan Pengembalian Booking Fee Circumstances Allowing Refund of the Booking Fee Dengan mengesampingkan ketentuan Pasal 4.1 dan Pasal 4.2 di atas, Pelanggan berhak atas pengembalian Booking Fee, baik seluruhnya maupun sebagian, dalam hal terjadi salah satu atau lebih keadaan berikut: Notwithstanding Clauses 4.1 and 4.2 above, the Customer shall be entitled to a refund of the Booking Fee, either in whole or in part, in the event that one or more of the following circumstances occur: a. Penyampaian produk dilakukan setelah tanggal 31 Desember 2026. The delivery of the product occurs after 31 December 2026. b. Harga final produk (setelah memperhitungkan potongan harga, diskon, dan/atau pengurangan lainnya) melebihi Rp38.000.000 (tiga puluh delapan juta Rupiah). The final price of the product (after taking into account any rebates, discounts, and/or other deductions) exceeds IDR 38,000,000 (thirty- eight million Indonesian Rupiah). c. keadaan lain yang secara tegas ditetapkan oleh Aerion berdasarkan pertimbangan itikad baik. any other circumstances expressly determined by Aerion based on considerations of good faith. 4.4 Tata Cara, Waktu, dan Akibat Pengembalian Dana Refund Procedure, Timeline, and Legal Effect 4.4.1 Setiap pengembalian Booking Fee yang disetujui oleh Aerion akan dilakukan melalui metode pembayaran yang sama dengan metode pembayaran yang digunakan oleh Pelanggan, kecuali disepakati lain secara tertulis antara Aerion dan Pelanggan. Any refund of the Booking Fee approved by Aerion shall be made using the same payment method used by the Customer, unless otherwise agreed in writing between Aerion and the Customer. Pelanggan dengan ini sepakat dan menyetujui bahwa besaran Pengembalian Dana yang diterima oleh Pelanggan adalah sebesar Booking Fee setelah dikurangi biaya administrasi dan biaya jasa Aerion. The Customer hereby agrees and acknowledges that the amount of the Refund to be received by the Customer shall be the Booking Fee net of Aerion’s administrative fees and service charges.. 4.4.2 Pengembalian dana akan diproses dalam jangka waktu paling lama 15 Hari sejak tanggal keputusan pengembalian dana disampaikan kepada Pelanggan. The refund shall be processed no later than 15 Days from the date on which the refund decision is communicated to the Customer. 4.4.3 Pengembalian dana dianggap sah dan telah dilaksanakan apabila dana telah diterima dan masuk ke rekening atau instrumen pembayaran Pelanggan, sebagaimana dibuktikan dengan dokumen pengembalian dana yang sah, termasuk namun tidak terbatas pada tanda terima, bukti transfer, bukti setor, atau dokumen lain yang dapat dipersamakan. A refund shall be deemed validly completed once the refunded amount has been successfully credited to the Customer’s bank account or payment instrument, as evidenced by valid refund documentation, including but not limited to receipts, transfer confirmations, deposit slips, or equivalent documents. 4.4.4 Sejak tanggal pengembalian dana dinyatakan sah sebagaimana dimaksud dalam ayat ini, Pre-Order dan Voucher Pre-Order secara otomatis berakhir, tidak berlaku, dan tidak memiliki kekuatan hukum apa pun, serta tidak dapat digunakan untuk mengajukan klaim, tuntutan, atau hak apa pun terhadap Aerion. As of the date the refund is deemed validly completed, the Pre-Order and the Pre-Order Voucher shall automatically terminate, become null and void, and have no legal force or effect whatsoever, and may no longer be used as the basis for any claim, demand, or right against Aerion B ATASAN TANGGUNG JAWAB LIMITATION OF LIABILITY 5.1 Umum General Sepanjang diizinkan oleh peraturan perundang-undangan yang berlaku, tanggung jawab Aerion kepada Pelanggan, baik yang timbul berdasarkan perjanjian, perbuatan melawan hukum, kelalaian, maupun dasar hukum lainnya, dibatasi secara keseluruhan sebesar jumlah Booking Fee yang telah dibayarkan oleh Pelanggan sehubungan dengan Pre-Order yang bersangkutan. To the fullest extent permitted by applicable laws and regulations, Aerion’s total and aggregate liability to the Customer, whether arising in contract, tort, negligence, or otherwise, shall be limited to the amount of the Booking Fee paid by the Customer in connection with the relevant Pre-Order. Batasan tanggung jawab ini berlaku terhadap seluruh klaim, tuntutan, atau gugatan yang timbul dari atau sehubungan dengan Pre- Order, tanpa memperhatikan jumlah peristiwa atau dasar klaim. Such limitation shall apply to all claims, demands, or actions arising out of or in connection with the Pre-Order, regardless of the number of events or causes giving rise to such claims. 5.2 Pengecualian Kerugian Tidak Langsung Exclusion of Indirect Damages Sepanjang diizinkan oleh hukum yang berlaku, Aerion tidak bertanggung jawab atas: To the extent permitted by applicable law, Aerion shall not be liable for any: a. kerugian tidak langsung, kerugian konsekuensial, atau kerugian insidental; indirect, incidental, or consequential losses; b. kerugian immateriil; immaterial or non-economic damages; c. kehilangan keuntungan, pendapatan, atau peluang usaha; dan/atau loss of profit, revenue, or business opportunity; and/or d. klaim, tuntutan, atau kerugian yang diajukan oleh pihak ketiga, third-party claims, demands, or losses, yang timbul dari atau sehubungan dengan Pre-Order, Voucher Pre-Order, keterlambatan produksi, penyesuaian lini masa, atau pelaksanaan Ketentuan ini, meskipun Aerion telah diberitahukan mengenai kemungkinan terjadinya kerugian tersebut. arising out of or in connection with the Pre-Order, the Pre-Order Voucher, production delays, timeline adjustments, or the performance of these Terms, even if Aerion has been advised of the possibility of such losses. 5.3 Pengecualian atas Tanggung Jawab yang Tidak Dapat Dibatasi Non-Excludable Liability Ketentuan batasan dan pengecualian tanggung jawab sebagaimana diatur dalam Pasal ini tidak berlaku terhadap tanggung jawab yang secara tegas tidak dapat dibatasi atau dikesampingkan berdasarkan peraturan perundang-undangan yang berlaku, termasuk namun tidak terbatas pada tanggung jawab yang timbul akibat kesengajaan atau pelanggaran hukum yang bersifat wajib. The limitations and exclusions set forth in this Article shall not apply to any liability that may not be excluded or limited under applicable laws and regulations, including liability arising from willful misconduct or mandatory statutory obligations. B AHASA DAN HUKUM YANG BERLAKU LANGUAGE AND GOVERNING LAW 6.1 Bahasa Language Ketentuan ini dibuat dan ditafsirkan dalam Bahasa Indonesia. Dalam hal Ketentuan ini disediakan dalam bahasa lain, maka versi Bahasa Indonesia yang akan berlaku dan mengikat. These Terms are made and shall be interpreted in the Indonesian language. In the event these Terms are made available in any other language, the Indonesian version shall prevail and be legally binding. 6.2 Hukum yang Berlaku Governing Law Ketentuan ini ditafsirkan, dilaksanakan, dan tunduk sepenuhnya pada hukum Negara Kesatuan Republik Indonesia. These Terms shall be governed by, construed, and implemented in accordance with the laws of the Republic of Indonesia. PENYE LESAIAN SENGKETA DISPUTE RESOLUTION 7.1 Musyawarah untuk Mufakat Amicable Settlement Setiap sengketa, perselisihan, atau perbedaan pendapat yang timbul dari atau sehubungan dengan Ketentuan ini terlebih dahulu akan diselesaikan secara musyawarah untuk mufakat dalam jangka waktu paling lama 30 (tiga puluh) Hari kalender sejak salah satu pihak menyampaikan pemberitahuan tertulis kepada pihak lainnya mengenai adanya sengketa tersebut. Any dispute, controversy, or difference arising out of or in connection with these Terms shall first be resolved through amicable discussions between the Parties within a period of 30 (thirty) calendar days from the date one Party provides written notice to the other Party regarding the existence of such dispute. 7.2 Penyelesaian Melalui Pengadilan Court Jurisdiction Apabila musyawarah sebagaimana dimaksud dalam Pasal 7.1 di atas tidak mencapai kesepakatan dalam jangka waktu tersebut, maka Pelanggan dan Aerion dengan ini sepakat bahwa sengketa tersebut akan diselesaikan secara eksklusif melalui Pengadilan Negeri Jakarta Selatan. If the amicable settlement as referred to in Clause 7.1 fails to reach an agreement within such period, the Customer and Aerion hereby agree that the dispute shall be finally and exclusively resolved through the South Jakarta District Court. KEADAAN KA HAR FORCE MAJEUR Tidak ada pihak yang dianggap lalai atau bertanggung jawab atas kegagalan atau keterlambatan dalam melaksanakan kewajibannya berdasarkan Ketentuan ini sepanjang kegagalan atau keterlambatan tersebut disebabkan oleh Keadaan Kahar, yaitu peristiwa di luar kendali wajar pihak yang bersangkutan, termasuk namun tidak terbatas pada bencana alam, perang, kerusuhan, kebakaran, wabah penyakit, tindakan atau kebijakan pemerintah, gangguan sistem, atau peristiwa lain yang secara langsung mempengaruhi kemampuan pihak tersebut untuk melaksanakan kewajibannya. No Party shall be deemed in default or held liable for any failure or delay in the performance of its obligations under these Terms to the extent such failure or delay is caused by a Force Majeure event, being an event beyond the reasonable control of the affected Party, including but not limited to natural disasters, war, riots, fire, epidemics, governmental actions or policies, system failures, or other events that directly affect such Party’s ability to perform its obligations. KETERPISA HAN SEVERABILITY Apabila terdapat satu atau lebih ketentuan dalam Ketentuan ini yang dinyatakan tidak sah, melanggar hukum, atau tidak dapat dilaksanakan oleh pengadilan atau otoritas yang berwenang, maka ketentuan tersebut akan dipisahkan dan dianggap tidak berlaku, tanpa mempengaruhi keabsahan, keberlakuan, dan kekuatan mengikat dari ketentuan-ketentuan lainnya dalam Ketentuan ini. If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court or competent authority, such provision shall be severed and deemed ineffective, without affecting the validity, enforceability, or binding effect of the remaining provisions of these Terms. PERU BAHAN AMENDMENT Aerion berhak untuk mengubah, memperbarui, dan/atau menyesuaikan Ketentuan ini dari waktu ke waktu sesuai dengan kebutuhan operasional Aerion dan/atau ketentuan peraturan perundang-undangan yang berlaku. Setiap perubahan tersebut akan diberitahukan kepada Pelanggan melalui situs resmi Aerion dan/atau sarana komunikasi lain yang dianggap patut, serta berlaku sejak tanggal efektif yang ditetapkan. Aerion reserves the right to amend, update, and/or modify these Terms from time to time in accordance with Aerion’s operational needs and/or applicable laws and regulations. Any such amendment shall be notified to the Customer through Aerion’s official website and/or other communication channels deemed appropriate, and shall take effect as of the stipulated effective date. Pelanggan berhak untuk sewaktu-waktu menarik persetujuannya atas Ketentuan ini dengan menyampaikan pemberitahuan kepada Aerion. Pelanggan dengan ini memahami dan menyetujui bahwa penarikan persetujuan tersebut mengakibatkan pembatalan atas setiap Pre-Order yang sedang berjalan, dan ketentuan mengenai Pembatalan dan Pengembalian Dana sebagaimana diatur dalam Ketentuan ini akan berlaku sepenuhnya. The Customer may, at any time, withdraw its consent to these Terms by providing notice to Aerion. The Customer hereby understands and agrees that such withdrawal shall result in the cancellation of any ongoing Pre-Order, and the cancellation and refund provisions under these Terms shall apply in full. KESE LURUHAN KETENTUAN ENTIRE TERMS a. Ketentuan ini, bersama dengan Formulir Pre-Order dan Voucher Pre-Order, merupakan keseluruhan dan satu-satunya perjanjian antara Aerion dan Pelanggan sehubungan dengan pelaksanaan Pre-Order, serta menggantikan seluruh komunikasi, pernyataan, negosiasi, atau kesepakatan sebelumnya, baik tertulis maupun lisan, yang berkaitan dengan Pre-Order. These Terms, together with the Pre-Order Form and the Pre-Order Voucher, constitute the entire and exclusive agreement between Aerion and the Customer with respect to the Pre-Order, and supersede all prior communications, representations, negotiations, or agreements, whether written or oral, relating to the Pre-Order. b. Ketentuan ini mengatur hal-hal yang bersifat umum terkait mekanisme Pre-Order yang diterapkan oleh Aerion. Dalam hal terdapat pertentangan antara Ketentuan ini dan Formulir Pre-Order, maka yang berlaku adalah Formulir Pre-Order. Untuk menghindari keraguan, Ketentuan ini tetap berlaku dan mengikat sepanjang tidak secara tegas diatur lain dalam Formulir Pre-Order. These Terms govern general matters relating to Aerion’s Pre-Order mechanism. In the event of any inconsistency between these Terms and the Pre-Order Form, the Pre-Order Form shall prevail. For the avoidance of doubt, these Terms shall remain valid and binding to the extent not expressly regulated otherwise in the Pre-Order Form. PEN GESAMPINGAN WAIVER Kegagalan atau kelalaian Aerion untuk melaksanakan atau menegakkan suatu ketentuan dalam Ketentuan ini pada suatu waktu tidak dapat ditafsirkan sebagai pengesampingan atas hak Aerion untuk melaksanakan atau menegakkan ketentuan tersebut di kemudian hari, maupun sebagai pengesampingan terhadap ketentuan lainnya. Any failure or delay by Aerion to exercise or enforce any provision of these Terms shall not be construed as a waiver of its right to enforce such provision at any later time, nor as a waiver of any other provision. PENUTU CLOSURE P Dengan mengisi dan mengajukan Formulir Pre-Order, Pelanggan dengan ini menyatakan dan menjamin bahwa: By completing and submitting the Pre-Order Form, the Customer hereby represents and warrants that: a. Pelanggan telah membaca, memahami, dan menyetujui seluruh ketentuan dalam Ketentuan ini beserta seluruh dokumen yang dirujuk atau merupakan bagian yang tidak terpisahkan darinya, serta tidak memiliki keberatan apa pun terhadap isinya; dan the Customer has read, understood, and agreed to all provisions of these Terms and all documents incorporated by reference or forming an integral part hereof, and raises no objection thereto; and b. Ketentuan ini dan setiap dokumen pelengkapnya dibuat dan disepakati secara sadar, sukarela, dalam kondisi sehat jasmani dan
